These Terms of Service (“Terms”) govern your access to and use of all Web3 TV services, including the website located at www.web3.tv, mobile and connected applications, creator tools, smart contract integrations, and any content or functionality provided by Web3 Software Technologies Limited, a company registered at Intershore Chambers, Road Town, Tortola, British Virgin Islands (“Web3 TV”, “we”, “us” or “our”). By accessing or using the Service, you agree to be legally bound by these Terms. If you do not agree, you must discontinue all use of the Service.
1.1 Web3 TV operates as an online video platform that allows users to upload, publish, stream, discover, share, and interact with video content and related media.
1.2 The Service supports a global audience and enables the distribution of educational, informational, entertainment, technological, blockchain-related, and user-generated material.
1.3 Certain features may include optional Web3 or blockchain-based functionalities, allowing users to connect digital wallets, interact with smart contracts, or view blockchain-verified content. These Web3 components are fully optional, and users may access core features of the Service without engaging with blockchain technologies.
1.4 Web3 TV continuously develops, improves, and updates the Service to enhance performance, security, and user experience. We may modify, add, or remove features, functionalities, or content offerings at any time. Certain updates may be required by law or necessary to maintain conformity with applicable safety, security, and quality standards. Where changes materially impact your ability to use the Service, Web3 TV will provide reasonable advance notice unless urgent updates are required to prevent harm, ensure security, comply with legal obligations, or maintain platform integrity. If such changes significantly and negatively affect your use of the Service, you may cease using the Service and, where applicable, export your content or data in accordance with our policies.
2.1 You must be at least thirteen years old, or the minimum age of digital consent in your jurisdiction, to use the Service.
2.2 If you are under that age, you may only use the Service with the active involvement of a parent or legal guardian. By continuing to use the Service, you confirm that you meet these requirements.
2.3 We reserve the right to update or modify these Terms, and your continued use following such changes constitutes acceptance of the updated Terms.
2.4 Your use of the Service is governed by these Terms of Use, together with the Web3 TV Privacy Policy, Cookie Policy, Community Guidelines, Copyright & DMCA Policy, Accessibility Statement, and any other policies referenced herein or published by Web3 TV from time to time.
2.5 If you participate in creator monetization programs, advertising opportunities, or promotional partnerships, your use of those features is also governed by the Web3 TV Creator Monetization Terms and any applicable advertising or sponsorship policies. In the event of any conflict between these Terms and any supplementary policies, these Terms will prevail unless expressly stated otherwise.
2.6 You may use the Service only if you meet the minimum age of digital consent required by the laws of your jurisdiction. If you are under the age of eighteen, you may use the Service only under the supervision and with the consent of a parent or legal guardian. Parents and guardians who permit minors to use the Service acknowledge that they are responsible for the minor’s activities, conduct, content uploads, communications, interactions, and compliance with these Terms. Web3 TV may offer parental oversight tools, and it is the responsibility of parents or guardians to use such tools where appropriate.
3.1 You may need to create an account to upload content, comment, engage in creator programs, or access certain features.
3.2 You agree to provide accurate and current information and to maintain the confidentiality of your account credentials.
3.3 If you choose to use a blockchain wallet as a login method, you acknowledge that Web3 TV does not store your private keys and cannot restore access to your wallet.
3.4 You assume full responsibility for all activity conducted through your account, including unauthorized use arising from negligence in safeguarding your account credentials or wallet access.
4.1 You agree to use the Service only for lawful and responsible purposes. You must not upload or transmit any content that is illegal, harmful, misleading, violent, hateful, defamatory, infringing, harassing, exploitative, sexually explicit, or otherwise prohibited under these Terms or under applicable law.
4.2 You also agree not to interfere with the Service through disruptive behavior such as hacking, reverse engineering, scraping, automated data harvesting, circumventing technical protections, or damaging or degrading platform performance.
4.3 Your right to access and use the Service is limited to the features and functionalities expressly made available by Web3 TV. You may view, listen to, and interact with content for your personal, non-commercial use, unless Web3 TV provides explicit written permission for broader use. You may not copy, reproduce, broadcast, sell, license, or otherwise exploit any part of the Service or any content except as expressly permitted under these Terms or applicable law.
4.4 You agree not to circumvent, interfere with, disrupt, disable, or attempt to gain unauthorized access to the Service or any systems, algorithms, or security features protecting it. You may not use automated tools, including scrapers, bots, crawlers, or similar technologies, unless such use is expressly permitted by Web3 TV in writing. You may not misuse any reporting, complaint, or appeals mechanism, including by submitting malicious, fraudulent, or vexatious reports.
4.5 You may not conduct contests, giveaways, lotteries, or promotional activities on or through the Service unless you comply with all applicable laws and Web3 TV’s promotional guidelines. You may not artificially manipulate engagement metrics, including views, likes, follows, comments, or similar interactions by offering incentives, engaging in coordinated manipulation, or using automated systems. You may not use the Service to publicly screen or rebroadcast content except through features that Web3 TV expressly enables.
4.6 Where the Service includes embedded players, APIs, or third-party integration tools, you may use such features only as permitted by Web3 TV and may not modify, block, distort, or interfere with them. You may not collect or use personal information from the Service, including user identifiers, biometric data, or profile information, except where expressly permitted by law or by the individual concerned.
4.7 If you use the Service to run contests, giveaways, sweepstakes, or promotional activities, you are solely responsible for ensuring compliance with all applicable laws, disclosure obligations, eligibility rules, and regulatory requirements. Unless expressly stated by Web3 TV in writing, such activities are not sponsored, endorsed, or administered by Web3 TV. You must clearly disclose that Web3 TV is not associated with or liable for any promotional activity you conduct.
5.1 Because Web3 TV hosts user-generated content, we maintain strict safety measures.
5.2 Users may report inappropriate content directly within the Service, and Web3 TV will review such reports in a timely manner.
5.3 Users may also block other users to prevent unwanted interactions.
5.4 Web3 TV reserves the right to remove or restrict access to any content that violates these Terms or poses a risk to users or the Service.
5.5 Web3 TV may also suspend, restrict, or terminate user accounts that repeatedly violate platform policies or engage in harmful or illegal conduct.
6.1 You may not upload, share, or engage with content or behavior involving hate speech, terrorism, self-harm, violence, graphic injury, nudity involving minors, sexual content, exploitation, harassment, bullying, dangerous challenges, discrimination, misinformation that causes harm, spam, scams, impersonation, malware, fraud, restricted regulated goods, or any content intended to deceive, manipulate public opinion, or promote illegal activity.
6.2 You may not upload content that infringes intellectual property rights or violates privacy rights, publicity rights, or applicable law.
6.3 You may not misuse Web3 features to commit fraud, manipulate tokens, or engage in deceptive financial schemes.
7.1 Content on the Service is provided by Web3 TV, creators, and third parties.
7.2 You acknowledge that content may be inaccurate or unsuitable for some audiences. Web3 TV does not guarantee the accuracy or reliability of any user-submitted content and is not responsible for representations made by creators or third parties.
7.3 The presence of content on the Service does not imply endorsement.
8.1 You retain ownership of the content you submit. However, by uploading or publishing content, you grant Web3 TV a worldwide, irrevocable (to the extent permitted by law), perpetual, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, distribute, publish, perform, display, modify, adapt, analyze, and create derivative works of your content to operate, improve, and promote the Service.
8.2 This license applies to all media and formats now known or later developed.
8.3 You represent and warrant that you possess all necessary rights to publish your content and that it does not violate the rights of any third party. Web3 TV may remove or restrict access to your content if it violates these Terms or applicable laws.
9.1 All rights, title, and interest in the Service, including all software, source code, databases, algorithms, trademarks, trade dress, branding, design elements, user interface components, smart contract code, video processing infrastructure, and proprietary recommendation systems belong exclusively to Web3 TV and its licensors.
9.2 Nothing in these Terms grants you ownership of any intellectual property rights belonging to Web3 TV. You agree not to copy, reverse engineer, modify, extract, circumvent, or interfere with any part of the Service.
9.3 Any unauthorized use of Web3 TV’s intellectual property is strictly prohibited.
9.4 Any rights not expressly granted to you in these Terms are reserved by Web3 TV and its licensors. No part of the Service or its intellectual property shall be deemed transferred to you by implication, estoppel, or otherwise. Your use of the Service does not grant you ownership of any right, title, or interest in the Service or in any content available on or through it.
10.1 If Web3 TV provides in-app purchases, digital goods, creator monetization tools, subscription features, tipping systems, or premium content, you acknowledge that digital goods accessed within the iOS app may be processed through Apple’s in-app purchase system where required by Apple’s App Store rules.
10.2 Web3 TV may also offer monetization programs subject to additional terms, eligibility requirements, verification procedures, or compliance obligations.
10.3 You are responsible for all taxes, reporting requirements, and legal obligations arising from monetization.
10.4 Web3 TV reserves the right to monetize any content uploaded to the Service, including by displaying advertisements or offering paid access models. Unless you participate in a monetization program expressly offered by Web3 TV, you are not entitled to any revenue generated from such monetization.
11.1 The Service may include downloadable software, mobile applications, embedded code, or other technical components. Web3 TV grants you a personal, limited, non-exclusive, non-transferable, revocable license to use such software solely for accessing and using the Service in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse-engineer, or attempt to extract the source code of any part of the Service, unless applicable law permits such activities or Web3 TV grants written permission.
11.2 Web3 TV may provide updates, patches, security enhancements, or new versions of its software from time to time. Certain updates may be installed automatically.
11.3 Some software components may be made available under open-source licenses. Where open-source terms expressly conflict with these Terms, the open-source license will govern the specific component.
12.1 Your participation in the Service must comply with Web3 TV’s Community Guidelines, which are incorporated by reference into these Terms.
12.2 These Guidelines explain acceptable behavior, prohibited conduct, safety expectations, content rules, and enforcement practices.
12.3 Violations of these Guidelines may result in removal of content, demonetization, account restrictions, or permanent account termination.
13.1 If you believe content on the Service infringes your copyright, you may submit a valid takedown notice under the Digital Millennium Copyright Act (DMCA) or applicable international equivalents.
13.2 Web3 TV will respond to such reports in accordance with applicable law and may remove or disable access to infringing content. Repeat infringers may have their accounts terminated.
14.1 Your use of the Service is governed by the Web3 TV Privacy Policy.
14.2 You understand that Web3 interactions may result in publicly recorded transactions on decentralized networks not controlled by Web3 TV. Web3 TV cannot modify or erase such data. By using blockchain features, you accept the permanence and transparent nature of such records.
15.1 The Service may contain links to external sites or resources not controlled by Web3 TV. Web3 TV is not responsible for their content, policies, or practices and you access them at your own risk.
15.2 The Service may interact with or rely on third-party services, wallets, smart contracts, storage layers, advertising partners, analytics providers, or payment processors.
15.3 Third-party services operate independently, and Web3 TV is not responsible for their actions, failures, or policies. Your interactions with third-party technologies are at your own risk.
16.1 Web3 TV may suspend or terminate your access if you violate these Terms, pose security risks, engage in illegal or harmful conduct, or disrupt the Service.
16.2 When we suspend or terminate your access to the Service, Web3 TV will provide notice of the reason for such action unless we reasonably believe that providing notice would: (a) violate the law or the direction of a governmental authority; (b) compromise an investigation; (c) endanger the integrity, security, or operation of the Service; or (d) cause harm to any user, third party, or Web3 TV. In urgent or sensitive circumstances, Web3 TV may withhold notice temporarily or permanently.
16.3 You may terminate your account at any time. Upon termination, licenses previously granted to Web3 TV may continue as needed for legal compliance, safety enforcement, and archival purposes.
17.1 The Service is provided “as is” and “as available” without warranties of any kind. Web3 TV does not guarantee uninterrupted access, error-free operation, precise content accuracy, or the absence of harmful components such as malware or exploits. You assume all risks associated with your use of the Service.
17.2 Content involving blockchain, tokens, digital assets, or related subjects is for informational and entertainment purposes only. Web3 TV does not provide investment, trading, or financial advice and does not endorse the accuracy of such content.
17.3 If you are a consumer residing in the European Economic Area, you may benefit from statutory legal guarantees for digital services under applicable EU and national legislation. These guarantees ensure that the Service will function in accordance with the standards required by law. If you believe the Service lacks conformity with applicable legal standards, you may contact Web3 TV to seek available remedies.
17.4 Certain features may interact with smart contracts. Smart contract interactions are irreversible and may involve inherent risks. Web3 TV does not control third-party smart contracts and is not responsible for losses arising from their use.
17.5 Web3 TV does not hold or control digital assets on your behalf. You remain solely responsible for your wallet and any assets stored within it.
17.6 You are responsible for ensuring that your use of the Service complies with all laws applicable to digital assets and Web3 technologies in your jurisdiction.
18.1 To the fullest extent permitted by law, Web3 TV shall not be liable for any indirect, incidental, consequential, punitive, special, or exemplary damages, including lost profits, lost revenues, lost data, business interruptions, reputation harm, account compromise, wallet compromise, smart contract failures, blockchain exploits, or damages arising from unauthorized use of your account or content.
18.2 Web3 TV shall not be liable for irreversible blockchain transactions, wallet losses, smart contract vulnerabilities, or events occurring outside Web3 TV’s control.
18.3 In all cases, Web3 TV’s total liability shall not exceed one hundred U.S. dollars (USD $100) or the amount you paid to Web3 TV in the preceding twelve months, whichever is greater. These limitations form an essential basis of our agreement.
19.1 You agree to indemnify and hold harmless Web3 TV from any claims, damages, liabilities, losses, or expenses arising from your content, conduct, violations of these Terms, or interactions with blockchain systems or third-party services.
20.1 These Terms shall be governed by the laws of BVI. Disputes arising from these Terms shall be resolved exclusively in the courts or arbitration venues located in BVI, and you consent to their jurisdiction.
21.1 If any provision of these Terms is found invalid, the remaining provisions continue in full force and effect.
22.1 Web3 TV may assign or transfer these Terms, in whole or in part, to any affiliated entity or successor in connection with a merger, acquisition, restructuring, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without Web3 TV’s prior written consent.
22.2 Failure by Web3 TV to enforce any provision of these Terms does not constitute a waiver of our rights. Any waiver must be expressly stated in writing to be effective.
22.3 Provisions that by their nature must survive termination, including intellectual property protections, disclaimers, limitations of liability, indemnification, and our rights regarding your content shall continue after your use of the Service ends.
23.1 These Terms constitute the entire agreement between you and Web3 TV regarding the use of the Service.
